Corporate governance

Print

We have a strong focus on good corporate governance. The Supervisory Board deems that we comply with the recommendations on good Corporate Governance published by the OMX Copenhagen Stock Exchange Committee.

Shareholders

We emphasis open and honest communication with shareholders. We issue company announcements on a regular basis and publish quarterly and half-year interim reports and annual reports in order to best enable our shareholders to form an adequate impression of the business. Management organises regular investor presentations, live teleconferences and webcasts in a partnership with Investor relations.

The Supervisory Board regularly considers the adequacy of the capital structure relative to the interests of the company and shareholders. The Board ensure that the capitalisation is optimised on an ongoing basis while duly safeguarding shareholders' interests and leaving the Group sufficient scope in which to develop and grow.

Stakeholders

We strive to develop and maintain strong relations to all relevant stakeholders as they are key to our future performance and potential. We therefore give high priority to being available and accessible and endeavour to reply to all enquiries in an accommodating manner.

We have defined a number of policies in order to ensure that we provide correct and adequate information to all our stakeholders. Our policies include communications policies, distribution, customer and service policy, an investor relation policy, a key persons policy, an HR policy and a policy defining a code of conduct for behaviour with respect to competition law. The Supervisory Board reviews our policies once a year to ensure that they are consistent with the requirements of our stakeholders.
