The Supervisory Board has 12 members. Eight members are elected by the shareholders for a term of one year. Four of the eight members are non-affiliated. The Supervisory Board is composed as follows:
- four members are elected among the members of the Supervisory Board of TryghedsGruppen
- four members are elected among candidates without affiliation with Tryghedsgruppen
- four representatives are elected among the employees, who according to agreement with the Danish employee association include three representatives of the Danish employees and one representative of the Norwegian employees.
Under the Danish Public Companies Act, employees are entitled to elect a number of representatives to the Supervisory Board, equal to half the number of members elected by the shareholders at the time employee elections are held. TrygVesta has agreed with the Group’s staff organisations that three Supervisory Board members are elected among the employees in Denmark and one member among the employees in Norway. The most recent ordinary election of employee representatives took place in 2008. Pursuant to the applicable legislation, employee representatives have the same rights, duties and responsibilities as any other members of the Supervisory Board.
Members of the Supervisory Board, elected by shareholders may hold office for a miximum of nine years. Furthermore, the Board members must retire at the first general meeting following their 70th birthday.
